Job Description


The paralegal will assist the Legal department with legal entity maintenance, preparing corporate resolutions and certificates, and SEC filings and related work.


  • Supports processes for the formation of legal entities, qualification to transact business in other states; obtain EINs.
  • Obtain board approval and coordinate supporting documents for transactional closings.
  • Maintain corporate records and data base of closing files in electronic format.
  • Prepare documentation for general corporate upkeep of subsidiaries including minutes of elections, certificates of incumbency, and annual reports. 
  • Assist treasury department and mortgage company with documentation for regulators. 
  • Work with division personnel to ensure legal compliance. 
  • Assist with SEC filings and related work (can train for this). 
  • General administrative duties relating to corporate records.  


Education and Experience Requirements: 

  • High school diploma or completion of GED
  • Previous experience of at least 2 years in a paralegal position within a law firm or corporate in-house preferred


 This is primarily a sedentary office position which requires the Paralegal to have the ability to operate computer equipment, speak, hear, bend, stoop, reach, lift, and move and carry up to 25 lbs. Finger dexterity is necessary.

  • Calm in deadline-driven and high-pressure situations; self-reliant and able to prioritize workload
  • Typing at 65 words per minute
  • Excellent command of the English language; written and verbal
  • Excellent grammar/spelling - Attendance and punctuality imperative
  • Strong Microsoft Word, Excel & Power Point skills
  • Excellent telephone etiquette - Arrive to work on time
  • Follow directions from a supervisor
  • Interact well with co-workers, supervisors and management
  • Understand and follow posted work rules and procedures
  • Accept constructive criticism.
